Agreement to Terms

By accessing or using the services provided by Digital Marketing Xperts ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you do not have permission to access our services.

Services

Digital Marketing Xperts provides digital marketing services including but not limited to: Search Engine Optimization (SEO), Pay-Per-Click Advertising (PPC), Social Media Marketing, Email Marketing, Web Development, and related consulting services. The specific services provided will be outlined in your service agreement or proposal.

Client Responsibilities

As a client, you agree to:

Provide accurate and complete information as requested
Respond to requests in a timely manner to avoid delays
Provide access to necessary platforms, accounts, and materials
Review and approve work within reasonable timeframes
Make payments as agreed in your contract
Not engage in activities that could harm our reputation or operations

Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may result in service suspension and may incur late fees. All fees are non-refundable unless otherwise specified in your agreement.

Intellectual Property

Upon full payment, all work product created specifically for you becomes your property. However, we retain ownership of any pre-existing materials, methodologies, tools, or intellectual property used in providing our services. You grant us a license to use your trademarks and branding materials for the purpose of providing our services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, customer data, technical information, and any data marked as confidential.

Limitation of Liability

To the maximum extent permitted by law, Digital Marketing Xperts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the total amount paid by you in the 12 months preceding any claim.

Indemnification

You agree to indemnify and hold harmless Digital Marketing Xperts, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of our services or violation of these Terms.

Termination

Either party may terminate services with written notice as specified in your service agreement. Upon termination, you remain responsible for payment of all services rendered through the termination date. We will provide reasonable assistance in transitioning services to another provider.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of New York.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or by other reasonable means. Your continued use of our services after such changes constitutes acceptance of the new Terms.
